Terms of Service

Please read these terms carefully before using our platform. By accessing NetDocGenAI you agree to be bound by them.

1. Acceptance of Terms

By accessing or using the NetDocGenAI platform and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to that organization. If you do not agree to these Terms, you must not access or use our Services.

2. Description of Services

NetDocGenAI provides a continuous network documentation platform that automatically scans your infrastructure, generates topology diagrams, creates runbooks, maintains equipment registries, and integrates with third-party knowledge management and incident response systems. We also provide AI-generated network summaries, change tracking, and compliance reporting. The specific features, scan frequency, and API rate limits available to you depend on your chosen subscription plan as published on our website.

3. Account Registration and Responsibility

To use our Services, you must create an account. You agree to provide accurate, current, and complete information and to keep this information up to date. You are responsible for maintaining the confidentiality of your account credentials and passwords. You are solely responsible for all activity that occurs under your account, including any infrastructure scanning performed by our platform using credentials you provide. You must notify us immediately at [email protected] of any unauthorized use of your account or any security breach.

4. Acceptable Use Policy

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Services to scan or document infrastructure, networks, or devices that you do not own or have explicit written authorization to access from the owner.
  • Attempt to circumvent, disable, or interfere with any rate limits, access controls, authentication mechanisms, or security features of the platform.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying algorithms of the Services.
  • Use automated scripts, bots, scrapers, or other tools to access the Services in a manner that imposes an unreasonable or excessive load on our infrastructure, unless explicitly authorized.
  • Resell, sublicense, transfer, or allow third parties to use the Services or your account without our prior written consent.
  • Scan for vulnerabilities, perform penetration testing, or conduct security research against our platform without prior authorization.
  • Use the Services for any illegal or malicious purpose, including fraud, hacking, or harassment.

5. Intellectual Property Ownership

NetDocGenAI retains all right, title, and interest in and to the Services, including all software, algorithms, models, documentation, user interfaces, and related intellectual property. These rights are protected by copyright, patent, trademark, and trade secret laws. Nothing in these Terms grants you ownership or licensing rights to the platform's underlying technology. You retain all ownership rights to your infrastructure data and to the documentation artifacts generated from your data.

6. License Grant and Restrictions

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services solely for your internal business purposes, in accordance with these Terms and your subscription plan. You may not sublicense, transfer, or share this license. The license terminates immediately upon termination of your account. You may not use the Services for any purpose outside the scope of this license or your authorized subscription tier.

7. Payment, Billing, and Refunds

Subscription fees for paid plans are billed monthly or annually based on the plan you select at checkout. All fees are in USD unless otherwise specified. You authorize us to charge your payment method for all fees and charges incurred. All fees are non-refundable except where expressly required by applicable law. We may change our pricing with at least 30 days' written notice to you. Continued use of the Services after any price change constitutes acceptance of the new pricing. Failure to pay fees may result in suspension or termination of your account without liability to us.

8. Free Trial and Beta Features

We may offer free trials or beta/early-access features at no cost. Free trials and beta features are provided "AS-IS" without warranties and may be discontinued at any time. We may limit the duration, features, or performance of trial or beta accounts. Upon expiration of any free trial, you must upgrade to a paid plan to continue using the Services, or your account will be suspended.

9. Data Security and Your Responsibilities

We implement industry-standard security measures to protect your data, including encryption, access controls, and monitoring. However, you acknowledge that no transmission over the Internet is completely secure and we cannot guarantee absolute security. You are responsible for:

  • Ensuring that any credentials (SNMP community strings, SSH keys, API tokens) provided to our scanning agent have only the minimum permissions necessary to collect infrastructure metadata required for documentation.
  • Reviewing and limiting the data types we are authorized to collect from your infrastructure.
  • Informing us of any security concerns or suspected breaches immediately.
  • Maintaining your own backups of any critical data or documentation.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR TITLE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR FREE OF HARMFUL COMPONENTS. WE DO NOT WARRANT THAT DOCUMENTATION GENERATED BY OUR SERVICES WILL BE SUITABLE FOR ANY PARTICULAR USE OR THAT ALL NETWORK INFORMATION WILL BE DISCOVERED OR ACCURATELY REPRESENTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NETDOCGENAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF USE, BUSINESS INTERRUPTION, LOSS OF GOODWILL, OR OTHER INTANGIBLE LOSSES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, EVEN IF NETDOCGENAI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE FEES YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to defend, indemnify, and hold harmless NetDocGenAI and its officers, directors, employees, and agents from any third-party claims, damages, or costs (including reasonable attorneys' fees) arising out of or related to: (1) your use of the Services in violation of these Terms; (2) your use of the Services to scan infrastructure without authorization; (3) your combination of the Services with other products, services, or systems; or (4) any content or data you provide to the Services.

13. Termination and Suspension

We may terminate or suspend your access to the Services immediately, with or without cause, with or without prior notice, and without liability to you if: (1) you violate these Terms; (2) we believe your use of the Services is unlawful or harmful; or (3) you breach the Acceptable Use Policy. Upon termination, your right to use the Services and access your account will immediately cease. You may terminate your account at any time by contacting our support team or through your account settings. Upon account termination, we will retain your data for 30 days before permanent deletion, subject to our legal retention obligations.

14. Service Level and Uptime

We strive to maintain 99.5% uptime for the platform during each calendar month (excluding scheduled maintenance). However, we do not guarantee any specific uptime, and we are not liable for service interruptions caused by factors outside our reasonable control, including internet outages, power failures, and force majeure events. Scheduled maintenance may occur with advance notice provided via email or our status page. Severe service outages may entitle you to credits under our Service Level Agreement, available upon request.

15. Changes to These Terms and Services

We reserve the right to modify these Terms at any time. We will provide at least 14 days' notice of material changes by email or through prominent notice on our website. Your continued use of the Services after any revision constitutes your acceptance of the revised Terms. We may also modify, suspend, or discontinue the Services or any feature with reasonable notice to you. If such modification materially reduces the functionality of your paid plan, we will offer you the opportunity to downgrade or terminate your account with a prorated refund.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California. Both parties consent to the personal jurisdiction of such courts and waive any objection to venue. If a dispute arises, we encourage you to first attempt to resolve it through our support team. If resolution cannot be reached through good-faith negotiation, either party may pursue legal action as permitted by these Terms.

17. Entire Agreement

These Terms, along with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and NetDocGenAI regarding your use of the Services and supersede all prior or contemporaneous understandings, whether written or oral. If any provision of these Terms is held to be invalid or unenforceable, that provision shall be severed and the remaining provisions shall remain in full force and effect.
